General Terms and Conditions of Sale

"Order": means the Customer's purchase order for one or more Product(s). "Quote": means the commercial proposal issued by SUPPLY8. "Product": means a product offered for sale on the Website.

"Customer": means any natural or legal person acting for strictly professional purposes who uses the Website and acquires one or more Product(s).

These Terms define the rights and obligations of SUPPLY8 and the Customer in the context of the sale of Products through the Website.

These Terms are exclusively reserved for professional customers acting within the scope of their business activities.

Only persons legally capable of entering into contracts may place Orders on the Website.

To order Products, the Customer must create an account by providing the information required in the registration form.

The Customer agrees to keep their username and password confidential.

The Customer is responsible for all actions performed on the Website using their credentials.

The Customer may place an Order directly on the Website after entering their credentials.

A minimum order amount of €1,000 excl. VAT is required, unless otherwise agreed by SUPPLY8.

The Customer may add Products to their cart and modify quantities at any time until confirmation.

SUPPLY8 cannot be held responsible for data entry errors by the Customer.

Cart validation constitutes a request for a Quote, not a firm order. The sale is only formed upon acceptance of the Quote and full payment.

A Quote containing all information is sent by email to the Customer as soon as possible.

The Order is only final upon acceptance of the Quote and payment of the corresponding price.

Visuals, photographs, and 3D renderings are provided for indicative purposes only. Variations in shade, texture, or dimensions may exist.

Custom-made Products cannot be cancelled or modified after acceptance of the Quote.

SUPPLY8 reserves the right to refuse any Order for legitimate reasons.

Prices displayed on the Website are indicative and shown as "starting from". Only the price in the Quote is contractual.

For deliveries outside French territory, VAT and customs duties provisions apply and are the Customer's responsibility.

SUPPLY8 reserves the right to modify prices at any time. The applicable price remains that indicated at the time of Quote validation.

The price of Products and delivery fees are payable in full upon acceptance of the Quote.

Payment is made by bank transfer to SUPPLY8. If not received within 7 days, SUPPLY8 reserves the right to cancel the Order.

Ordered Products remain the property of SUPPLY8 until final and complete payment.

Delivery takes place at the address indicated by the Customer. SUPPLY8 delivers to France and continental Europe.

Deliveries are primarily made on pallets. The Customer must have the necessary means for unloading.

Delivery times are indicative and may vary. No delay can justify order cancellation.

Delivery is considered complete once the Customer takes physical possession of the Product.

Transfer of risk occurs upon handover of the Products to the carrier.

Any claim regarding an apparent defect must be made within 5 working days of receipt.

Products carry a commercial warranty of 12 months from delivery, covering manufacturing defects under normal professional use.

Excluded: normal wear, misuse, assembly defects, product modifications, non-conforming use.

The warranty is limited, at SUPPLY8's discretion, to repair, replacement, or credit note.

Prior to any order, the Customer must ensure the Products are compatible with the intended use.

The Customer agrees to follow the manufacturer's usage instructions.

SUPPLY8 cannot be held responsible for defects resulting from non-compliant assembly or use.

SUPPLY8 acts exclusively as a distributor/wholesaler and not as a manufacturer.

It is the professional Customer's responsibility to verify the suitability of Products for their intended use.

SUPPLY8's liability is limited to direct and foreseeable damages. SUPPLY8 cannot be held liable for indirect damages.

In any case, SUPPLY8's liability is strictly limited to the tax-exclusive amount of the order concerned.

SUPPLY8 collects and processes personal data in the context of managing the commercial relationship.

The data controller is DRAOUNER SUPPLY (trade name SUPPLY8).

Processing is based on contract execution, legal obligations, and SUPPLY8's legitimate interest.

Data may be shared with SUPPLY8's service providers (carriers, logistics, IT, accountants).

Data is retained for the duration necessary for the commercial relationship and legal obligations.

The Website may use cookies necessary for site operation.

The Customer may terminate their registration at any time by contacting Customer Service.

In case of breach, SUPPLY8 reserves the right to suspend the Customer's access or terminate their account.

All Website elements (texts, structure, graphic design) are the property of SUPPLY8.

Products marketed remain the intellectual property of their respective manufacturers.

Any total or partial reproduction without prior agreement from SUPPLY8 is strictly prohibited.

If any provision of the Terms is deemed unlawful, the remaining provisions shall remain in effect.

Electronic acceptance of the Terms has the same probative value as a paper agreement.

Failure by SUPPLY8 to exercise a right shall not constitute a waiver of that right.

Performance of obligations shall be suspended in the event of force majeure.

The Terms are governed by French law. Only the French version is authoritative.

The parties shall endeavour to resolve any dispute amicably before taking legal action.

Any dispute shall be submitted to the exclusive jurisdiction of the Rennes Commercial Court.
